1. Agreement to these terms
These Terms of Service ("Terms") are a legal agreement between you and THINKR ("THINKR," "we," "us" or "our"). They govern your use of thinkrmd.com, our assessments, accounts, emails, texts and any related services (together, the "Services").
By creating an account, completing an assessment, buying a membership or otherwise using the Services, you agree to these Terms and to our Privacy Policy and Telehealth Consent. If you do not agree, do not use the Services.
Section 18 contains a binding arbitration agreement and class action waiver that affect how disputes are resolved. Please read it.
2. What THINKR is — and isn't
THINKR is a technology platform that connects you with independent, U.S.-licensed clinicians (physicians, nurse practitioners and physician assistants) who provide telehealth care for weight management, testosterone therapy and women's hormone health, and with licensed pharmacies that fill prescriptions.
THINKR itself does not practice medicine or pharmacy. All medical decisions are made by the treating clinician using their own independent professional judgment, and all medications are dispensed by licensed pharmacies. Our clinical and pharmacy partners are responsible for the care and products they provide.
The Services do not replace your relationship with a primary care provider. We encourage you to keep one and to share your THINKR treatment with them.
3. Eligibility and availability
- You must be at least 18 years old and able to enter into a binding contract.
- You must be physically located in a U.S. state where we offer the relevant program at the time of each visit. Programs and medications are not available in every state.
- You must provide accurate information about yourself, including your identity, which we or our partners may verify.
Completing an assessment or paying for a membership does not guarantee that you will be prescribed any medication. A clinician may decide that a treatment is not appropriate for you or that you need an in-person exam, lab work or a referral.
4. Your account
You are responsible for keeping your login details confidential and for all activity under your account. Use only your own account, and tell us right away at support@thinkrmd.com if you think someone else has accessed it. You may not share, sell or transfer your account.
5. Telehealth consent
Telehealth means receiving care from a clinician remotely through secure messaging, questionnaires, audio or video, rather than in person. By using the Services you understand and agree that:
- Telehealth has benefits, such as convenience, and limits — for example, a clinician cannot physically examine you, and information you provide may be incomplete.
- Electronic systems can fail or be delayed, and despite reasonable safeguards there is a small risk that information could be intercepted or accessed without permission.
- Your clinician may decide telehealth is not right for you and recommend in-person care.
- You may withdraw your consent to telehealth at any time by contacting us, without affecting your right to future care elsewhere.
Additional consent requirements under your state's law may apply and will be presented to you where required.
6. Prescriptions and pharmacy
- Prescriptions are written only when a clinician determines they are medically appropriate. Clinicians will not prescribe controlled substances outside what federal and state law allow.
- Some medications may be compounded by licensed pharmacies. Compounded medications are not reviewed or approved by the FDA for safety, effectiveness or quality.
- Medications are shipped to the address you provide in an eligible state. Once a prescription has been dispensed, it generally cannot be returned or refunded, as required by pharmacy law.
- Follow your clinician's and pharmacy's instructions, and report side effects promptly. For serious reactions, seek emergency care.
- Prescription medications are for your personal use only. Never share, sell or give them to anyone else.
7. Your responsibilities
To receive safe care you agree to give complete, truthful and current information about your health history, medications, allergies and symptoms; to complete any lab work or follow-ups your clinician requests; to keep your contact and shipping details current; and to tell your clinician about any change in your health. Providing false or incomplete information can put your health at risk and may result in the end of your access to the Services.
8. Payments, memberships and refunds
- Pricing. Prices are shown before you pay. Unless stated otherwise, membership fees cover the clinician visits, messaging and medication described in your plan. Lab work, insurance co-pays and other third-party costs may be extra.
- Insurance. Unless we tell you otherwise in writing, the Services are self-pay and are not billed to insurance, Medicare or Medicaid. You are responsible for any fees whether or not they are reimbursed.
- Automatic renewal. Memberships renew automatically at the end of each billing period (for example, monthly or quarterly) and your saved payment method will be charged the then-current price until you cancel. We will tell you before any price change takes effect.
- Cancelling. You can cancel at any time from your account or by emailing support@thinkrmd.com. Cancel at least 48 hours before your next renewal to avoid being charged for the next period. Cancellation stops future charges; you keep access until the end of the period you paid for.
- Refunds. If a clinician decides you are not eligible for treatment before any medication is prescribed, you will receive a refund of the amount paid for that program, minus any non-refundable consultation fee disclosed at checkout. Medication that has been dispensed or shipped cannot be refunded. Other refund requests are reviewed case by case.
- Failed payments. If a payment fails we may retry it, pause shipments or suspend your membership until it is resolved.
9. Privacy and health information
Our Privacy Policy explains how we collect, use and share your information. Health information shared with our clinical partners and pharmacies is protected health information under HIPAA and is handled under their Notice of Privacy Practices and applicable law. By using the Services you consent to the sharing of your information with the clinicians, pharmacies, labs and service providers needed to deliver your care.
10. Emails and text messages
You agree that we may contact you electronically about your account, orders, care and these Terms, and that electronic notices satisfy any legal requirement that they be in writing. If you give us your phone number, you agree to receive texts about your care, orders and account, which may be sent using automated technology. Message frequency varies and message and data rates may apply. Reply STOP to opt out or HELP for help. Marketing messages are optional and are never a condition of receiving care.
11. Acceptable use
You agree not to:
- use the Services for anyone other than yourself, or impersonate another person;
- provide false information to obtain medication;
- resell, share or misuse any medication or product;
- copy, scrape, reverse engineer or interfere with the Services or their security;
- upload harmful code, or harass, threaten or abuse our staff, clinicians or partners;
- use the Services in any way that breaks the law.
12. Intellectual property
The Services, including our name, logo, website design, text, graphics and software, belong to THINKR or our licensors and are protected by law. We give you a limited, personal, non-transferable, revocable license to use the Services for your own care under these Terms. If you send us feedback or reviews, you allow us to use them without payment to you; we will not publish your name or health information without your permission.
13. Third-party services
The Services may link to or rely on third-party websites, payment processors, labs, pharmacies and telehealth platforms. We do not control them and are not responsible for their content, products or practices. Your use of them may be subject to their own terms.
14. Disclaimers
Content on our website, such as articles and program descriptions, is for general information only and is not medical advice. Individual results vary, and no outcome — including any specific amount of weight loss or hormone level — is guaranteed.
To the fullest extent the law allows, the Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Services will be uninterrupted or error-free. Nothing in this section limits the professional responsibility of the clinicians or pharmacies who treat you.
15. Limitation of liability
To the fullest extent the law allows, THINKR and its owners, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or data, arising from your use of the Services. Our total liability for any claim relating to the Services is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) $100. Some states do not allow certain limits, so some of these may not apply to you.
16. Indemnification
You agree to defend and hold harmless THINKR and its owners, employees and agents from claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services or any medication, or information you provide that is false or incomplete.
17. Suspension and termination
You may stop using the Services and close your account at any time. We may suspend or end your access if you break these Terms, if required by law, or if a clinician determines continued care through THINKR is not safe or appropriate. Where possible, we will give you notice and help you transfer your care. Medical records are kept as required by law even after your account is closed. Sections that by their nature should survive termination will do so.
18. Disputes, arbitration and class waiver
Informal resolution first. Before filing any claim, you agree to email support@thinkrmd.com describing the issue and to try to resolve it with us in good faith for at least 30 days.
Binding arbitration. If we cannot resolve it, any dispute arising from these Terms or the Services will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. Either party may instead bring an individual claim in small claims court. This agreement does not cover claims of medical malpractice against a treating clinician, which are governed by applicable state law.
Class action waiver. You and THINKR each agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class, collective or representative action. You and THINKR each waive the right to a jury trial.
Opting out. You may opt out of this arbitration agreement by emailing support@thinkrmd.com within 30 days of first accepting these Terms, with your name and a clear statement that you are opting out.
Governing law. These Terms are governed by the laws of the State of Florida and applicable federal law, without regard to conflict-of-law rules. Any matter not subject to arbitration will be heard in the state or federal courts located in Broward County, Florida.
19. Copyright complaints
If you believe content on the Services infringes your copyright, send a notice to support@thinkrmd.com with: your contact details and signature; a description of the copyrighted work; where the material appears on our site; a statement that you believe in good faith the use is not authorized; and a statement, under penalty of perjury, that your notice is accurate and you are authorized to act for the owner.
20. Changes to these terms
We may update these Terms from time to time. When we do, we will change the "Last updated" date above and, for material changes, notify you by email or in your account before they take effect. Continuing to use the Services after changes take effect means you accept the updated Terms.
21. General terms
These Terms, with our Privacy Policy and Telehealth Consent, are the entire agreement between you and THINKR about the Services. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, sale or reorganization. We are not liable for delays caused by events outside our reasonable control.
